Terms of Service
The agreement between you and Pivot. Plain language, in good faith, written so it can be re-read in three years and still mean what it does today.
Accepting these terms
By creating an account, signing in, or using any part of Pivot (collectively, the “Service”), you agree to these Terms of Service (the “Terms”). If you are using the Service on behalf of an organisation, you confirm you have authority to bind it and “you” refers to that organisation as well as you personally.
Your account
You are responsible for activity under your account, for keeping your sign-in credentials secure, and for the people you invite into a workspace. Tell us promptly if you suspect unauthorised access.
We may suspend or close accounts that violate these Terms, that pose a security risk, or that we are required to act on by law.
Acceptable use
You agree not to:
- use the Service to break the law or to violate the rights of others;
- upload content that is unlawful, infringing, or that you do not have the right to share;
- attempt to probe, scan, or otherwise circumvent the security of the Service or its hosting providers;
- use the Service to send unsolicited messages, scrape data without permission, or train machine-learning systems on other workspaces’ content;
- misuse the Service in a way that degrades it for other users.
Your content
The financial models, accounts, scenarios, snapshots, notes, and everything else you create inside a workspace remain your content. We claim no ownership over it.
You grant us a limited, worldwide, royalty-free licence to host, store, transmit, and display your content solely to operate the Service for you and the workspace members you authorise. This licence ends when you delete the content or close the workspace, except for encrypted backup copies that age out within thirty days.
You can export your workspace content at any time. We will not use your content to train machine-learning models.
Our content
Pivot, the Pivot logo, the editorial design system, the source code, and the documentation are owned by us or our licensors. You may use them only as part of your permitted use of the Service.
Fees and free use
Pivot may be offered without charge during early access. Where paid plans exist, the applicable fees, billing cycle, and refund rules appear at checkout and form part of these Terms by reference. We will give reasonable notice before changing the price of an active subscription.
Service availability and changes
We work to keep the Service available, but we do not guarantee uninterrupted access. Planned maintenance is announced where reasonable. We may add, change, or remove features as the product evolves; we will not remove a feature you depend on without giving you a way to export the data behind it.
Disclaimers
Pivot is a modelling tool, not financial advice. Outputs depend on the assumptions you enter. You are responsible for the decisions you make with them. To the extent permitted by law, the Service is provided “as is” and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data. Our total aggregate liability for claims arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars.
Nothing in these Terms limits liability that cannot be limited by law — including, where applicable, liability for death or personal injury caused by negligence, or for fraud.
Termination
You can stop using the Service at any time and delete your account from the workspace settings. We may suspend or terminate access if you breach these Terms. Sections that by their nature should survive termination (ownership, disclaimers, liability, governing law) will do so.
Changes to these terms
We may update these Terms. When we do, we update the effective date at the top of this page and, for material changes, we notify you inside the workspace before the change takes effect. Continued use of the Service after a change means you accept the updated Terms.
Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. The state and federal courts located in San Francisco County, California have exclusive jurisdiction over any dispute, and you and we consent to personal jurisdiction there. If you are a consumer in the EEA or UK, this clause does not deprive you of the protection of the mandatory consumer-law rules of the country in which you live.
